1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you (the "User" or "School") and School Manager ("Company," "we," "us," "our"). By accessing, registering, or using our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree with any part of these Terms, you may not use School Manager.

2. Use License & Restrictions

We grant you a limited, non-exclusive, revocable license to:

• Access and use School Manager solely for your school's educational operations
• View and manage student records, grades, attendance, and fees
• Communicate with teachers and parents through the platform
• Download reports and data exports for administrative purposes

You agree NOT to:

• Use the platform for any illegal or unauthorized purposes
• Attempt to gain unauthorized access to systems, data, or accounts
• Share login credentials with unauthorized individuals
• Reverse-engineer, decompile, or attempt to discover the platform's source code
• Transmit viruses, malware, or harmful code
• Spam, harass, abuse, or threaten other users
• Tamper with or corrupt data belonging to others
• Use automated scripts or tools to access the platform (except approved APIs)
• Sell, rent, or transfer your account to third parties
• Use the platform to compete with or create a competing service

3. Account Registration & Responsibility

When you register a school account, you are responsible for:

• Providing accurate, complete, and current information
• Maintaining the confidentiality of your password and login credentials
• Notifying us immediately of unauthorized access or security breaches
• All activities that occur under your account
• Compliance with all applicable laws and regulations in your jurisdiction
• Obtaining necessary consents from students, parents, and guardians for data processing

⚠ School Manager is not responsible for unauthorized access due to compromised credentials. Always protect your login information.

4. Subscription & Payments

Subscription Plans:

• School Manager operates on a subscription basis with tiered pricing
• You select a plan based on your school's student population
• Subscriptions renew automatically unless canceled before the renewal date
• Pricing may be updated with 30 days' notice

Payment Terms:

• Payments are processed securely via Paystack
• We accept credit cards and mobile money (where available)
• Payment details are never stored on our servers
• Invoices and payment confirmations are sent via email
• Failed payments may result in account suspension

Cancellation & Refunds:

• You may cancel your subscription anytime from your account settings
• Refunds are issued according to our refund policy
• Upon cancellation, your data is retained for 90 days, then deleted
• Schools may export data before cancellation

5. Data & Intellectual Property

Your Data: You retain all rights to student and school data you provide. We use your data solely to operate the service and as described in our Privacy Policy.

Our Intellectual Property: All content, design, code, and features of School Manager are owned by or licensed to the Company. You may not reproduce, distribute, or modify any part of the platform without written permission.

Limited License: You may not:

• Copy or duplicate the platform or any of its features
• Create derivative works or competing products
• Use our branding or trademarks without permission
• Publicly display or perform the platform's content

6. Service Availability & Support

We strive to maintain 99.5% uptime, but:

• We provide the platform "as-is" without guarantees of uninterrupted access
• Scheduled maintenance may cause temporary downtime (we provide advance notice)
• Emergency maintenance may occur without notice during security incidents
• We are not liable for any losses during downtime

Customer Support:

• Support is available via email and through our contact form
• Response times: standard issues within 24–48 hours, urgent issues prioritized
• Documentation and help guides are available 24/7

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

School Manager and its owners, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, loss of data, or business interruption, even if advised of the possibility of such damages.

Our maximum liability to you is limited to the amount you paid for your subscription in the 12 months preceding the claim.

You acknowledge that:

• Use of the platform is at your own risk
• The platform is provided "as-is" without warranties
• We are not responsible for third-party actions or data breaches despite our security measures
• You should maintain independent backups of critical data

8. Indemnification

You agree to indemnify, defend, and hold harmless School Manager and its owners, officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of any law or third-party rights
• Your use of the platform
• Data you provide or content you upload

9. Dispute Resolution & Governing Law

Governing Law: These Terms are governed by and construed in accordance with the laws of the jurisdiction in which School Manager is operated, without regard to its conflict of law provisions.

Dispute Resolution:

• Any disputes shall first be resolved through informal negotiation
• If negotiation fails, disputes shall be resolved through binding arbitration or applicable court jurisdiction
• You waive the right to pursue claims in a class action format

10. Termination

We may terminate or suspend your account if you:

• Violate these Terms or any applicable law
• Engage in unauthorized access or fraudulent activity
• Repeatedly fail to pay subscription fees
• Abuse or threaten other users
• Violate data protection or privacy laws

Upon termination:

• Your access to the platform will be revoked
• Your data will be retained for 90 days before deletion
• You may request a data export before deletion

11. Changes to Terms

We may update these Terms at any time. Changes will be effective upon posting to this page. Material changes will be communicated to your registered email. Continued use of the platform constitutes acceptance of the updated Terms.

12. Entire Agreement

These Terms constitute the entire agreement between you and School Manager regarding your use of the platform and supersede all prior agreements, understandings, and negotiations.
